1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and CLOUDYMSG SOFTWARE SOLUTIONS PVT. LTD. ("Cloudy msg", "we", "our", or "us"), a company incorporated under the Companies Act, 2013, with its registered office at 1st Floor, W-115, 3rd Avenue, Anna Nagar, Chennai – 600040, Tamil Nadu, India (GST: 33AAMCC5428R1Z2).

By accessing our website at cloudymsg.com, creating an account, purchasing or activating any prepaid card, or using any of our digital services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.

âš ī¸ Important: If you do not agree to these Terms, you must immediately discontinue using our website and services. Continued use constitutes your binding acceptance of all terms.

We reserve the right to update or modify these Terms at any time. We will notify users of material changes via email or a prominent notice on our website. Continued use after changes are posted constitutes acceptance of the revised Terms.

2. Eligibility & Account Registration

To use our Services, you must meet the following eligibility requirements:

  • You must be at least 18 years of age or have the consent of a parent/legal guardian
  • You must be a resident of India with a valid government-issued ID
  • You must have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872
  • You must not be prohibited from using financial services under any applicable Indian law
  • You must provide accurate, current, and complete information during registration

Account Responsibilities: You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and card PINs. You agree to notify us immediately at support@cloudymsg.com of any unauthorized access or suspected security breach.

You agree not to share your account with any other person and not to access another person's account without authorization. Each account is for individual use only unless expressly permitted by us in writing.

KYC Compliance: Certain card products require identity verification (Know Your Customer – KYC) as mandated by the Reserve Bank of India. Failure to complete KYC may result in restricted card functionality or account suspension.

3. Our Services

Cloudy msg provides access to the following digital prepaid card products and associated services:

  • Gift Cards: Prepaid digital gift cards redeemable at participating merchants online and offline. Gift cards are non-refundable once activated unless required by law.
  • Petrol Cards: Prepaid fuel cards for use at authorized petrol stations. Usage is subject to merchant acceptance and applicable fuel-specific terms.
  • Meal Cards: Digital meal voucher cards for dining at participating restaurants, food courts, and cafeterias as permitted under CBDT meal voucher regulations.
  • GPR Cards (General Purpose Reloadable): Reloadable prepaid payment instruments regulated by the Reserve Bank of India under the Payment and Settlement Systems Act, 2007.
  • Mono Vouchers: Single-use, non-reloadable prepaid vouchers for specific one-time payments at designated merchants.

We reserve the right to modify, suspend, or discontinue any Service (or feature thereof) at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of Services.

RBI Regulation: Our prepaid payment instruments are issued and operated in compliance with the Reserve Bank of India's Prepaid Payment Instruments (PPI) Master Directions. All limits, features, and restrictions applicable to PPIs under RBI guidelines are incorporated into these Terms.

4. Cards, Payments & Transactions

Card Issuance & Activation: Cards are issued subject to successful identity verification and payment. Cards become active only upon confirmation of successful payment processing by our authorized payment gateway.

Loading & Top-ups:

  • Card loading is subject to minimum and maximum limits as per RBI PPI guidelines (currently up to ₹1,00,000 for full-KYC PPIs)
  • Top-ups must be made via authorized payment methods including UPI, net banking, debit/credit cards
  • Loaded amounts are non-transferable and non-encashable unless permitted under RBI guidelines

Transaction Processing:

  • Transactions are processed in real time. Declined transactions may be due to insufficient balance, merchant restrictions, or security flags
  • You are responsible for verifying transaction details before authorization. Authorized transactions cannot be reversed except as permitted under applicable law
  • We reserve the right to block transactions that we reasonably suspect to be fraudulent or in violation of these Terms

Expiry: Cards have an expiry date printed or displayed upon issuance. Unused balances on expired cards may be forfeited as per the card product's specific terms unless otherwise required by applicable law.

Refunds & Disputes:

  • Refunds for failed transactions will be processed within 5–7 working days to the original payment source
  • Disputes must be raised within 30 days of the transaction date by contacting support@cloudymsg.com
  • We will investigate and respond to disputes within 30 days of receipt
  • Gift cards and activated vouchers are non-refundable once redeemed

Transaction Limits: As per RBI Circular on Prepaid Payment Instruments, transaction and balance limits apply. These may be updated from time to time to reflect regulatory changes. Current limits will always be displayed in your account dashboard.

5. Prohibited Use

You agree not to use our Services for any of the following purposes, which are strictly prohibited:

  1. Illegal Activities: Any activity that violates applicable Indian or international law, including money laundering, terrorist financing, or fraud
  2. Unauthorized Transactions: Using another person's card, account, or identity without authorization
  3. Gambling & Betting: Funding illegal online gambling, betting platforms, or lottery schemes not permitted under Indian law
  4. Purchase of Prohibited Goods: Purchasing illegal drugs, weapons, counterfeit goods, or any items prohibited under Indian law
  5. Card Resale: Reselling, brokering, or transferring our prepaid cards without our prior written authorization
  6. System Abuse: Attempting to hack, reverse-engineer, or disrupt our platform, payment systems, or security infrastructure
  7. Fraudulent Chargebacks: Filing false or misleading chargeback claims or disputes
  8. Multiple Accounts: Creating multiple accounts to circumvent limits, bans, or KYC requirements
  9. Commercial Exploitation: Using our services for commercial resale or bulk purchasing without a formal merchant agreement with us
  10. Misrepresentation: Providing false information during registration, KYC, or any interaction with our platform

âš ī¸ Violation of prohibited use policies will result in immediate account suspension, card deactivation, and may result in legal action and reporting to appropriate authorities including the Financial Intelligence Unit (FIU-IND) and law enforcement agencies.

6. Intellectual Property

All content on the Cloudy msg website and platform, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and the overall design and layout, is the exclusive property of CLOUDYMSG SOFTWARE SOLUTIONS PVT. LTD. or its content suppliers and is protected by applicable Indian and international copyright, trademark, and intellectual property laws.

  • The "Cloudy msg" name, logo, and all related product names and service marks are trademarks or registered trademarks of Cloudy msg
  • You may not use our trademarks without our prior written consent
  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our website solely for personal, non-commercial purposes
  • You may not reproduce, distribute, modify, create derivative works of, publicly display, perform, or in any way exploit any content on our platform without our express written permission
  • Any unauthorized use of our intellectual property may result in legal action for infringement under the Copyright Act, 1957 and the Trade Marks Act, 1999

User-Generated Content: Any feedback, suggestions, or content you submit to us grants us a perpetual, royalty-free, worldwide license to use, reproduce, and publish that content for improving our services. We will never publicly identify you without your consent.

7. Disclaimers & Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any information provided
  • Warranties that defects will be corrected or that our servers are free of viruses

We do not warrant or make any representations regarding the use or the results of the use of our services in terms of their correctness, accuracy, reliability, or otherwise.

Merchant acceptance of our prepaid cards is subject to individual merchant policies and network availability. We do not guarantee that our cards will be accepted at all merchants or locations. Merchant-specific restrictions and category blocks apply.

Service Availability: We strive for 99.9% uptime but cannot guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where possible. Emergency maintenance may occur without prior notice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDYMSG SOFTWARE SOLUTIONS PVT. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages resulting from unauthorized access to or alteration of your transmissions or data
  • Any loss arising from your use of, or inability to use, our Services
  • Damages from third-party conduct or content accessed through our Services
  • Any transaction between you and any third party merchant

Where liability cannot be fully excluded by law, our total aggregate liability to you for all claims arising from or relating to these Terms or our Services shall not exceed the amount paid by you to us in the preceding 3 months for the specific service giving rise to the claim.

Consumer Rights: Nothing in these Terms limits or excludes your rights as a consumer under the Consumer Protection Act, 2019, or any other non-excludable statutory rights under applicable Indian law.

9. Termination & Suspension

By Cloudy msg: We reserve the right to suspend or terminate your account, restrict access to Services, or deactivate your prepaid cards at any time, with or without notice, for reasons including but not limited to:

  • Breach of any provision of these Terms or our other policies
  • Fraudulent, abusive, or illegal activity detected on your account
  • Failure to complete required KYC verification within the stipulated time
  • Extended period of account inactivity (defined as 12 months or more)
  • Receipt of a court order, regulatory direction, or law enforcement request
  • Insolvency or bankruptcy proceedings initiated against you

By You: You may close your account at any time by contacting our support team. Closure is subject to resolution of any outstanding transactions, disputes, or balances in accordance with applicable RBI guidelines.

Effect of Termination: Upon termination, your right to access and use our Services immediately ceases. Any unused card balances eligible for refund under applicable law will be processed within 30 working days. Clauses relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Dispute Resolution Process:

  1. Informal Resolution: Before initiating formal proceedings, you agree to first contact us at support@cloudymsg.com with a detailed description of your complaint. We will attempt to resolve the dispute informally within 30 days.
  2. Mediation: If informal resolution fails, the parties agree to attempt resolution through mediation conducted in Chennai, Tamil Nadu, under the Mediation and Conciliation Rules.
  3. Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration conducted in Chennai, Tamil Nadu, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in the English language by a sole arbitrator mutually agreed upon by the parties.
  4. Jurisdiction: For disputes that cannot be resolved through the above process, you agree to submit to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only and not as part of a class, collective, or representative action, to the extent permitted by applicable law.
